2. What will be
in the consolidated list of substantial shareholders?
The ultimate holding company of a group
or an individual controlling a group of companies, may have interests in shares
of a listed corporation because a corporation or series of companies that it /
he controls (”controlled corporations”) has an interest in those shares. The
controlled corporations may themselves also be substantial shareholders by
virtue of their interests in the shares and, if so, they will have filed
notices. The ultimate holding company and these controlled corporations will
therefore both appear on the complete list of substantial shareholders.
By “consolidated”, we mean that the
consolidated list of substantial shareholders displays only the ultimate
holding company, or individual controlling a group of companies, who are
substantial shareholders. It excludes substantial shareholders that have been
described in a notification, filed before the search date, as a “controlled
corporation”. Substantial shareholders who do not hold interests through
controlled corporations are not affected and will appear in the consolidated
list. The last notice filed by the
substantial shareholders in the listed corporation would be shown on the
consolidated list.
