Relating to a collar with a bank on 26/7/8, ZHL agrees to buy 43,909,143 shares with a bank. Under net settlement agreement on 26/7/8, bank obligation to deliver such shares and pay initial amount under the collar and ZHL obligation to pay consideration and transfer 43,909,143 shares under CSA of the collar on 26/7/10 will be satisfied and discharged and ZHL shall deliver 6,970,513 shares to bank on 26/7/10.
