Metropolitan Lifestyle (BVI) Limited entered into a loan agreement dated 29 May 2026 with Greater Bay Finance Limited, an independent third party (the “Lender”) for a loan facility amount of HK$10,000,000, pursuant to which 380,000,000 shares of convertible bond of the Company (the “Charged Shares”) has been charged in favour of the Lender, for the purpose of securing the loan granted by the Lender to Mr. Joe Chan.
