根據袁謙、周宏峰、ZHOU PENGFEI及武漢才智投資管理合夥企業(有限合夥)(「武漢才智」)(共同及各自為「一致行動人士」)於2018年6月30日訂立的一致行動人士協議及一致行動人士訂立的日期為2020年10月26日及2023年6月2日的一致行動人士補充協議，一致行動人士同意(i)就提呈武漢友芝友生物製藥股份有限公司(「本公司」)所有股東大會及董事會表決的有關本公司及其附屬公司日常管理及營運的議案達成共識，從而一致行動；及(ii)在無法達成共識時，各一致行動人士就議案作出的表決應與袁謙一致，或若袁謙缺席表決時，一致行動人士作出的表決應與在會議上投票的一致行動人士中股權比例最高的其中一名一致行動人士一致。有關方格24而言，本公司於全流通轉換完成後，將68,010,299股非上市股份（包括61,140,555股內資股及6,869,744股非上市外資股）轉換為H股。袁謙、周宏峰、ZHOU PENGFEI及武漢才智共同持有54,262,305股非上市股份將轉換為H股。
