Relating to a collar transaction with UBS on 2025/06/17, Zhan Hua Ltd ("ZHL") agrees to buy 81,286,088 shares with UBS at closing price on 2025/06/17. Under net settlement agreement on 2025/06/17 with UBS, UBS obligation to deliver such shares and pay initial amount under the collar and ZHL obligation to pay the consideration and transfer 96,654,088 shares under CSA of collar transaction on 2025/06/18 will be satisfied and discharged and ZHL shall deliver 15,368,000 shares to UBS on 2025/06/18.
