ST MA Ltd (ST MA) entered into a loan arrangement (Loan Arrangement), under which 39.2 million shares were deposited into a custodian account as security of the purported loan. However, ST MA's position is that the Loan Arrangement was induced by fraudulent misrepresentations, and should thus be void ab initio. ST MA has commenced legal proceedings to deal with this matter. The filing of this form and the contents herein shall not prejudice ST MA's position in any related legal proceedings.
