高春雷先生（“高先生”）於2019年參與中國鐵塔股份有限公司（“本公司”）的限制性股票激勵計劃，獲本公司授予1,550,000股限制性股票。高先生於2022年5月11日獲委任為本公司董事，詳情請見日期為2022年5月11日的股東週年大會投票表決結果公告。高先生享有之限制性股票權益根據授予條款和條件解鎖前由委託代理機構持有。高先生獲授予限制性股票的70%（即1,085,000股限制性股票）不能根據限制性股票激勵計劃的條款和條件解鎖並已由委托代理機構向高先生按照授予價格購回。如本公司日期為2023年3月31日之2022年年報所述，根據第一次授予方案授出的限制性股票於2023年進入第三個解鎖期，由於本集團2022年營業收入指標未能達到限制性股票解鎖條件的指標，該等解鎖條件未能滿足，故高先生獲授予限制性股票的30%（即465,000股限制性股票）不能根據限制性股票激勵計劃的條款和條件解鎖。該等限制性股票已根據限制性股票激勵計劃的條款，在合法合規的前提下，由委託代理機構或其他第三方向高先生按照授予價格購回。
