Feng Lei is the general partner of SHCY and therefore is deemed to have control over SHCY. Pursuant to the Concert Party Agreement entered into by Feng Lei and Du Bing, they had and will continue to act in concert by aligning their votes at members meeting and board meeting, unless otherwise agreed, and in case no unanimous consent is reached, Du Bing shall act as directed by Feng Lei.
