Pursuant to a placing and subscription agreement dated 4 January 2023, Apex Sail Limited agreed to (i) sell 68,000,000 shares of the listed corporation through a placing agent to placees at the placing price of HK$15.05 per share, and (ii) after completion of the said placing, subscribe for 68,000,000 new shares of the same corporation at the subscription price of HK$15.05 per share.
