玆提述顧曉敏先生（“顧先生”）於2021年6月29日之提交的有关中國鐵塔股份有限公司（“本公司”）股份的披露權益通知。顧先生獲本公司授予1,550,000股限制性股票，並于2019年5月7日簽訂協定接受授予。顧先生於2019年7月31日獲委任為本公司董事。2021年6月28日，顧先生獲授予限制性股票的40%（即620,000股限制性股票）不能根據限制性股票激勵計劃的條款和條件解鎖幷已由委托代理機構或其他第三方向顧先生按照授予價格購回。如本公司日期為2022年3月9日之年度業績公告所述，根據第一次授予方案授出的限制性股票于2022年進入第二個解鎖期。由於本集團2021年營業收入指標未能達到限制性股票解鎖條件的指標，該等解鎖條件未能滿足，故顧先生獲授予限制性股票的30%（即465,000股限制性股票）不能根據限制性股票激勵計劃的條款和條件解鎖。該等限制性股票將根據限制性股票激勵計劃的條款，在合法合規的前提下，由委托代理機構或其他第三方向激勵對象按照授予價格購回。
