Charm Success Group Limited entered into a sale and purchase agreement on 24 Dec 2021 pursuant to which Charm Success would sell 120M shares to the buyer within 270 days from agreement's date (or later date as parties may agree)("Relevant Period"). Total consideration is HK$70M plus Additional Consideration--deposit of HK$20M has been paid and the balance of HK$50M together with Additional Consideration to be calculated at rate of 6% p.a. thereon until date of payment during the Relevant Period.
