佟吉祿先生（“佟先生”）於2019年4月18日獲中國鐵塔股份有限公司（“本公司”）授予1,800,000股限制性股票，並於2019年5月7日簽訂協定接受授予。有關詳情請參閱本公司日期為2019年3月4日的有關限制性股票激勵計劃的公告和日期為2019年4月18日的有關限制性股票激勵計劃項下之第一次授予的公告。佟先生享有之限制性股票權益根據授予條款和條件解鎖前由委託代理機構持有。如本公司日期為2021年3月8日之年度業績公告所述，根據第一次授予方案授出的限制性股票於2021年進入第一個解鎖期，由於本集團2020年營業收入指標未能達到限制性股票解鎖條件的指標，解鎖條件未能滿足，故佟先生獲授予限制性股票的40%（即720,000股限制性股票）不能根據限制性股票激勵計劃的條款和條件解鎖，該等限制性股票已根據限制性股票激勵計劃的條款，在合法合規的前提下，由委託代理機構或其他第三方向佟先生按照授予價格購回。
