Reference is made to the announcement of the Company dated 14 December 2020 (the “Announcement”). The terms used herein shall carry the same meaning as those defined in the Announcement. On 14 December 2020, the Company and the Vendor entered into an agreement regarding the acquisition of the Target Group, pursuant to which the Company will issue up to 433,962,263 shares, subject to adjustment calculated based on the Actual Net Profit, to the Vendor (or its nominee) to settle the Consideration.
