Pursuant to the share buyback agreement entered between Innovital Growth Ltd and Activation One Limited dated 16 July 2020, a put option was granted to Innovital upon the exercise of which Activation One shall purchase 33,766,280 shares owned by Activation One in Activation Group Holdings Limited which are to be sold by Activation One to Innovital as per a share sale agreement (SPA). The exercise period of put option starts from date of completion of the SPA up to 2nd anniversary of completion.
