As disclosed in the announcement of Jiayuan International Group Limited (the "Company") dated 18 December 2017, the Company and Mingyuan Investment Group Limited (a company wholly owned by Mr. Shum Tin Ching) entered into the Subscription Agreement, pursuant to which the Company has conditionally agreed to allot and issue, and Mingyuan Investment Group Limited has conditionally agreed to subscribe for, 232,000,000 shares of the Company pursuant to a top-up placing.
