Lemontree Harvest Investment Limited（「Lemontree Harvest 」）已于2026年9月22日与Faye Free Flight Limited（「Faye Free」）、A&O Investment Limited（「A&O Investment 」）及集团一位核心业务员工（为公司并表联属实体上海柠萌影视传媒股份有限公司的董事）（「核心员工」）订立《股票无偿赠与协议》，据此，Lemontree Harvest同意分别向Faye Free、A&O Investment及核心员工无偿转让9,883,800股股份、9,883,800股股份及3,453,200股股份，合共23,220,800股股份（占公司已发行股本总额约6.42%）（「股份转让」）。股份转让乃相关股东基于其自身安排，对其所持股份作出的无偿赠与安排。股份转让完成后，苏晓先生、陈菲女士及徐晓鸥女士将继续根据一致行动人士协议及补充协议以一致行动方式行使彼等于公司的投票权。股份转让不会导致公司控股股东组成发生变更，亦不会对公司的控制权、董事会组成、日常营运及公司治理造成重大影响。
