根據袁謙、周宏峰、ZHOU PENGFEI及武漢才智投資管理合夥企業(有限合夥)(「武漢才智」)(共同及各自為「一致行動人士」)於2018年6月30日訂立的一致行動人士協議，以及日期為2020年10月26日及2023年6月2日的補充協議，一致行動人士同意(i)就提呈武漢友芝友生物製藥股份有限公司(「本公司」)所有股東大會及董事會表決的有關本公司及其附屬公司日常管理及營運事項一致行動；及(ii)在無法達成共識時，作出的表決則應與袁謙一致，或若袁謙缺席表決時，作出的表決則應與在會議上投票的一致行動人士中股權比例最高的一名一致行動人士一致。由於武漢才智科技有限責任公司為武漢才智的執行事務合夥人，並代表其行使表決權，被視為透過控制武漢才智於各一致行動人士擁有權益的所有股份中擁有權益。有關方格17而言，於2026年8月30日，本公司與袁謙、周宏峰及ZHOU PENGFEI(「認購方」)訂立股份認購協議，據此認購方有條件同意認購，而本公司有條件同意按每股內資股人民幣2.43元的認購價配發及發行合共35,592,400股內資股。有關股份認購協議的詳情，請參閱本公司於2026年9月9日發出的公告。
