中国中信金融控股有限公司（认购人）与中信证券股份有限公司（上市发行人）于2026年5月28日签署了《附条件生效的向特定对象发行H股股票认购协议》，拟以23.13港元/股的价格认购本次发行的全部H股股票，认购金额为本次发行的募集资金总额，即人民币160.00亿元，经换汇后以港元形式支付。根据前述认购协议，2026年8月6日，中信证券股份有限公司向中国中信金融控股有限公司成功发行H股803,725,383股，并已于2026年8月6日完成相关股份交割事宜。
