本申報係因 Foxconn (Far East) Limited（「買方」，為鴻海精密工業股份有限公司全資子公司）與 FSK Holdings Limited 及 FDG Fund, L.P.（合稱「賣方」）於 2026 年 7 月 27 日簽署股份買賣協議（「SPA」）。據此，買方同意購買雲智匯科技服務有限公司（「目標公司」，股份代號：1037）合共 239,050,141 股普通股（約佔目標公司已發行股本 33.86%）。於 SPA 簽署後，買方及其一致行動人士於目標公司之權益合計達到 285,730,141 股（約佔目標公司已發行股本 40.46%），因而觸發香港《公司收購及合併守則》（「《收購守則》」）規則 26 下之可能強制性有條件現金要約。詳細交易條款及背景請參閱買方與目標公司於 2026 年 7 月 27 日聯合發布之 Rule 3.5 聯合公告。
