("Meritz") was granted a put option regarding its subscribed shares in Fosun Fashion Group (Cayman) Limited ("Put Option") secured by collaterals, including 81,542,487 shares of Fosun Tourism Group ("FTG Shares"). In an event of default of the Put Option, Meritz shall have a right to take the FTG Shares to recover the subscription price with an agreed rate of return plus default interest, so the amount of consideration is not available as at the date of this notice.
