On 2 July 2026, Zhao Haoyu acquired 172,166,037 ordinary shares of Pizu Group Holdings Limited from his mother, Ma Xia, at a nominal consideration of HK$1.Pursuant to the new agreement under section 317 of the SFO, which took effect upon completion of the transfer, Zhao Haoyu became a party to such agreement in substitution for Ma Xia immediately upon completion of the transfer.
